Independent Contractor Termination Plan

We are committed to maintaining high service standards and ensuring the safety of its customers, restaurant partners, and affiliated independent contractors (drivers). This termination plan outlines the events that may lead to the termination of a driver's contract with The Company or its affiliates such as Brems Logistics, LLC (collectively, “The Company”), and the support provided to drivers in such cases. This plan aims to ensure that all drivers adhere to The Company's policies, maintain high standards of professionalism, and deliver exceptional customer service while complying with legal requirements.

1. Violation of The Company Policies

Drivers may be terminated for violating The Company's policies, which include, but are not limited to:

1.1. Falsification of information: Providing false or misleading information during the onboarding process, or at any time during the contract.

1.2. Unauthorized use of customer information: Inappropriately accessing, using, or sharing customer information, such as contact details, for any purpose other than delivering orders.

1.3. Fraudulent activity: Engaging in fraudulent activities, such as manipulating trip data, falsifying delivery records, or colluding with customers, restaurants, or other drivers to defraud the platform.

2. Breach of Contract

Independent contractors are bound by the terms of their contract with The Company. Termination may result from:

2.1. Failure to fulfill contractual obligations: Inability or refusal to meet the performance standards, service requirements, or other terms outlined in the contract.

2.2. Unauthorized use of The Company's intellectual property: Using The Company's name, logo, or other proprietary information without permission or in a manner that is inconsistent with the contract.

2.3. Unauthorized subcontracting: Allowing unauthorized individuals to access the driver's account or perform deliveries on their behalf.

3. Performance Issues

Termination may result from consistent poor performance, including:

3.1. Low customer ratings: Repeatedly receiving poor customer ratings below the minimum threshold set by The Company.

3.2. Excessive order cancellations: Consistently canceling orders without valid reasons or at a rate significantly higher than the average for The Company drivers.

3.3. Late deliveries: Consistently failing to complete deliveries within the expected time frame or repeatedly arriving late at pick-up or drop-off locations.

4. Legal Compliance

The Company expects all drivers to comply with applicable laws and regulations. Termination may result from:

4.1. Violation of traffic laws: Repeated or severe violations of traffic laws, or involvement in accidents that may put customers, restaurant partners, or The Company at risk.

4.2. Criminal activity: Engaging in any criminal activity or conduct that could harm The Company's reputation or expose the company to legal liability

4.3 Failure to check identification on alcohol deliveries: Failure to perform a face-to-face identification check of the recipient’s license, passport, or other legitimate form of identification to ensure they are over 21 years of age, and as well to check that the recipient is not overly intoxicated or otherwise not allowed to receive alcohol.

5. Safety and Security

The Company prioritizes the safety and security of its customers, restaurant partners, and drivers. Termination may result from:

5.1. Unsafe driving practices: Repeated instances of unsafe driving, including excessive speeding, reckless driving, or driving under the influence of alcohol or drugs.

5.2. Threats or acts of violence: Threatening or engaging in violence towards customers, restaurant partners, or other drivers, including harassment, discrimination, or intimidation.

5.3. Substance abuse: Operating a vehicle under the influence of alcohol or drugs.

6. Discrimination and Harassment

The Company is committed to providing an inclusive and respectful environment for all drivers, customers, and restaurant partners. Termination may result from:

6.1. Discrimination: Engaging in discriminatory behavior based on race, gender, religion, sexual orientation, age, disability, or any other protected characteristic.

6.2. Harassment: Engaging in harassment, including sexual harassment, bullying, or any other form of offensive or intimidating behavior.

7. Service Quality

The Company expects drivers to maintain a high level of service and professionalism. Termination may result from:

7.1. Poor customer service: Repeated instances of rude or unprofessional behavior towards customers, restaurant partners, or The Company staff.

7.2. Failure to maintain service standards: Consistently failing to meet The Company's service standards, such as punctuality, order accuracy, or communication.

8. Vehicle and Insurance Compliance

The Company requires drivers to maintain their vehicles and insurance coverage in accordance with the company's policies and applicable regulations. Termination may result from:

8.1. Inadequate vehicle maintenance: Failing to maintain a safe and clean vehicle, or neglecting necessary repairs or maintenance, which may affect the quality of service provided to customers.

8.2. Lapsed or insufficient insurance coverage: Failing to maintain the required level of vehicle insurance coverage or allowing coverage to lapse, which can expose The Company and its customers to unnecessary risks.

9. Violation of Driver Policy

The Company expects all drivers to adhere to the Driver Policy, which outlines the values and principles that guide the company's operations. Termination may result from:

9.1. Unprofessional behavior: Engaging in unprofessional or disrespectful behavior towards customers, restaurant partners, other drivers, or The Company staff.

9.2. Misrepresentation of The Company: Misrepresenting The Company's brand, values, or policies to customers, restaurant partners, or other drivers, or acting in a manner that negatively impacts The Company's reputation.

10. Failure to Comply with Updates to The Company Policies and Procedures

As part of continuous improvement, The Company regularly updates its policies and procedures to maintain high service standards and legal compliance. Termination may result from:

10.1. Non-compliance with updates: Failing to comply with updated policies, procedures, or contractual obligations, even after receiving adequate notice and training from The Company.

10.2. Inability to adapt to changes: Demonstrating an unwillingness or inability to adapt to changes in The Company's operating procedures, technology, or service offerings, which may negatively impact the driver's performance or customer experience.

Termination Process:

The Company and its affiliates retain all rights specified in the Driver Agreement, including, but not limited to, the right to terminate any contract at any time for any reason. Nevertheless, we have established this guideline to clearly communicate expectations and maintain consistent standards for our drivers. Should any of the conditions outlined above arise, The Company will adhere to a legally compliant termination procedure, which encompasses:

1. Investigation: Conducting a thorough investigation into the alleged violation, performance issue, or breach of contract, and providing the driver with an opportunity to respond to the allegations.

2. Notice: Providing the driver with written notice of termination, including a clear explanation of the reason(s) for termination.

3. Final payment: Ensuring that the driver receives any outstanding payments owed for completed deliveries, as well as any applicable accrued benefits, in accordance with applicable laws and regulations.

4. Appeals: Allowing the driver to appeal the termination decision within a specified time frame, during which The Company will review the decision and any additional information provided by the driver.

By adhering to this comprehensive driver termination plan, The Company ensures a fair and legally compliant termination process while maintaining a high level of service and professionalism throughout its driver network.

Termination Support:

In the event of contract termination, The Company is committed to providing support and resources to affected drivers, including:

1. Transition assistance: Providing information on alternative contracting opportunities.

2. Feedback and improvement: Offering constructive feedback on the driver's performance and areas for improvement, which may help the driver in future contracting opportunities.

By implementing this comprehensive independent contractor termination plan, The Company aims to maintain high standards of service, safety, and professionalism while ensuring a fair and legally compliant process for all parties involved.
